Terms of Service for Convosight

These Terms of Service (the ‘Terms’) govern the access to, and use of, www.convosight.com (‘Website’ or ‘Convosight’) and the online, web-based applications and platform made available by BD Parenting Infotech Private Limited through the Website (‘the Service’). If You are accessing or using the Website for a free trial of the Service, these Terms will also govern that trial. By clicking the box or otherwise, indicating acceptance of these Terms, You are indicating that You have read and understood and agreed to constitute a legal and binding agreement between the customer identified in the order form filled up when the Service was requested (‘You’ / ‘Your’) and BD Parenting Infotech Private Limited with offices at 55, 2 nd Floor Community Centre, East of Kailash, New Delhi - 110065 (‘Company’ or ‘Us’ ). If You do not agree to be bound by these Terms, then You have no right to use the Service.

By accepting the Terms on behalf of a company or other legal entity, you represent that you have the authority to bind the said company or other legal entity and in which case these terms ‘You’ or ‘Your’ in these Terms shall refer to such company or entity. If you do not have such authority, you must not accept the Terms and must not use the Service

  1. Registration/ Account, Username and Password

    Users may avail the Services of Convosight (We, Our, Us etc.) on a ‘free trial’basis for a limited period of time and without any financial counterparts from Users. The request for the ‘free trial’ is subject to written acceptance by Convosight.

    If the ‘Users’ request for trial is accepted, the User will receive a mail from Convosight detailing the features that the user can access.

    The User is required to register on the website, following this Convosight will provide the User with a Username (e-mail id provided by User for the trial) and a password to activate Your trial. The User may also register by using the Users account on Facebook, this will automatically register the User on Our Website. Convosight will access the data of the User provided on the Social Networking websites and the groups of which the user is a part.

    During the Free Trial Period, the User shall be a ‘trial user’ and not a ‘subscriber’ to the Service. After the expiration of the Free Trial Period, Users right to access or use the Service will automatically cease unless the User purchases the subscriptions to the Service using the order process.

    Should the User fail to provide the mandatory information for subscription of service or should the User provide inaccurate, incomplete or outdated personal information that may infringe third party rights, the Company may deny access to the Services.

    The username and password provided to the User by Us is strictly confidential and under the sole responsibility of the User. The User is responsible for all activities resulting from the User’s negligence

  2. Scope of Terms of Use

    The Services offered by Convosight enables Users to provide the data posted by users of Facebook on the closed group communities established on the Facebook platform to the Company. The data collected from such Facebook groups include:

    • Basic information about the groups such as member count, name of group;
    • Posts and comments by members of the group; and
    • Reactions on posts by members of the group (likes, shares)

    The Company will analyse the FB Data and share the insights and results derived from the analysis of such FB Data with the Users.

    These Terms of Use integrally govern the legal relationship between the Convosight and the Users.

    The User represents and warrants that he or she is at least 18 years old and that he or she has the legal right to accept the Terms of Use

  3. Disabling Cookies

    You can prevent the setting of cookies by adjusting the settings on your browser.

  4. License/ Subscription

    To create a metric dashboard around trends and changes in counts of posts, comments, reaction and members counts.

    The license by Convosight grants the User a non-exclusive, personal, non-transferable, non-sublicensable, limited and revocable (in accordance with these Terms) license to access and use the Service for Your internal business purpose.

    The User is restricted from using the Subscription for any other purpose, including engaging in the business of providing benchmarking and analysis services or in any other manner, for the benefit of any third party. The User shall not issue copies, communicate to the public, translate, adapt or reproduce content from the Subscription except for the Users internal business purposes.

    The User may subscribe to the service as a brand, agency and identified client, the terms of which differ.

    The Subscription and information thereof (including the username and password) can only be used and accessed by the User and cannot be shared with third parties (including affiliates or clients of the User). In these Terms, ‘Affiliate’ with respect to a party, means any entity which directly or indirectly controls, is controlled by, or is under common control with such party, where ‘control’ means the power, directly or indirectly, to direct, or to cause the direction of, the management and policies of an entity, whether through majority ow nership of voting securities or equity interests.

    Convosight reserves the right to examine the use of the service by the User. If Convosight on such examination or information provided by Third Parties finds violation of the Terms provided, Convosight may terminate the subscription with immediate effect.

  5. Use of Services, Fees

    The Services are available to all Users having an Internet access and technical and computer resources required for the functioning of the Services, as described on the Website.

    All costs related to the Services are exclusively borne by the User, including but not limited to material fees, software or Internet access fees. The User is sole responsible for ensuring the proper functioning and parameter of his or her computer facilities and Internet access.

    Convosight recommends that any Admins who choose to monetize their community with Brand Campaigns must follow appropriate terms and conditions that may apply as per the rules of the country when carrying out these Campaigns.

    In addition, any Community Admin who chooses to carry out Brand Campaign via Convosight is responsible to follow all applicable rules and regulations that govern social media posting, including but not limited to all policies administered by Facebook such as outlined in Brand Content Policy (including use Branded Content Tool, where available), Community Standards, and Content Monetisation Policy, along with any other Advertising rules and compliances applicable in the region such Users operate.

    Fees:

    At Present, Convosight does not charge a fee to Users for use of its website www.convosight.com or affiliated Web-App. It only charges Brands for using its services for carrying out Community Campaigns. Convosight may pay a portion of the fees it collects from Brands to Users who accept to do Community Campaigns as per terms and conditions of the Community Campaign posts.

  6. Intellectual Property

    All rights in the Services and all intellectual property rights related rights thereto are reserved by Convosight. The intellectual property rights of the Website, Services are the exclusive property of the Company are protected under the various IPR laws.

    The User will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Services and content on the Convosight website, except as expressly permitted in these Terms. No licenses or rights are g ranted to you by implication or otherwise under any intellectual property rights owned or controlled by the Company or its licensors, except for the licenses and rights expressly granted in these Terms.

  7. Limitation of Service

    Subject to the terms of the Privacy Policy, any User accessing the Service consents to the use of information and data that the User makes available to Convosight. Convosight and its Affiliates, agents and distributors shall also have the permission to access, copy, store, transmit, reformat and use the Data for the purpose of providing the Service to the User and as provided in the Privacy Policy.

  8. Links to Third Party Websites

    The Website may provide links to third party websites that are outside the control of Convosight. Convosight does not endorse and shall not be liable or responsible for functioning or the authenticity, availability, suitability, reliability, accuracy of the information provided by the Third Party website. Convosight shall not be liable or responsible for any damage, loss or harm, direct, indirect or consequential or any violation of local or international laws that may be incurred by the User’s visit and/or transactions/activities on these thi rd party site(s).

    Any question, comment or claim with regard to another website than the Website shall be addressed to operators, editors or hosts of these websites.

  9. Maintenance, Support and availability of service

    To the fullest extent applicable by law, the Company has only an obligation to use all reasonable means to provide the Services to the User. The Company shall not be liable for any indirect or consequential damages.

    The Services are provided on an ‘as is’ basis with no express or implicit guarantee of any sort. The Company does not guarantee, represent or warrant that the Services will be totally free of errors, and that the Services will specifically meet the User’s needs and expectations. In this regard, the Company shall not be liable for the use by the User of the analysis and data aggregation obtained by the Services.

    The Company shall not be liable in case of damages or services unavailability caused by a force majeure event, nor for any breach or improper performance of the Terms by the User. The Company shall not be liable for the unavailability of its servers and Services arising out of the telecommunication networks interruption or disruption.

    The Company reserves the rights to temporarily suspend or interrupt access to part or all of its Services to carry out maintenance and updates of such Services, or in case of technical failure. Such interruption or suspension will not entitle the User to any compensation nor incur any obligation for the Company.

    The Company shall not be liable for the disruption or damages related to the use of the Internet networks. In particular, the Company shall not be liable for any disruption in the provision of the Services.

    The Company shall not be liable in case the User’s computer e quipment or mailbox otherwise rejects, for example because of a spam system, the emails sent by the Company.

    The Company does not carry out any prior control nor moderation of the FB Data published by the members of the relevant Facebook group on Facebook. As a consequence, the Company will not be liable for any information published on a Facebook group.

    The Company shall not be liable in case the User uses the Services for commercial activity purposes, notably when a disagreement arises between the User and a third party.

  10. Modification

    The Company reserves the right to modify, at any time, all or part of the Terms and/or the Services.

    The Company will send an email to the registered User no later than one (1) month before the entry into force of such modifications, requesting the User to read and accept the new version of the Terms.

    If the User does not agree with such modifications, the User may terminate his or her Subscription via an email request to the addressreachus@convosight.com, no later than seven (7) days before the entry into force of the modifications. Such termination will take effect no later than the date modifications enter into force. In this case, the User will not be charged for his or her rem aining payment.

    The Company may unilaterally modify the Services or the Terms of Use to take into account technical evolution. The Users will be informed of such evolutions by a publication on the Website or by any relevant means.

  11. Indemnity

    To the maximum extent permitted by applicable law, the User agree to release, defend, indemnify, and hold the Company and its affiliates and subsidiaries, including but not limited to, their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) the Users breach of these Terms, (ii) the Users improper use of the Services, or (iii) breach by the User of any laws, regulations or third party rights.

  12. Term, Termination and Consequences

    These Terms shall remain binding on the parties for the term of Your subscription and shall terminate automatically on the termination or expiry of Your subscription.

    The Company may terminate Your subscription to the Service in the event that You are in breach of these Terms, and fail to remedy the breach within thirty (30) days of notice calling on You to remedy the breach. On such termination, fees paid (if any) for the unexpired term of Your subscription shall not be refunded.

    You may terminate Your subscription to the Service in the event that the Company fails to provide the Service as warranted in these Terms and does not remedy such failure within thirty (30) days of notice calling on the Company to remedy the failure. On such termination, the Company shall refund to You any fees paid, pro-rated for the unused term of Your subscription.

    The Company may terminate Your subscription without cause by issuing thirty (30) days advance notice to You, in which event the Company shall refund to You any fees paid, pro-rated for the unused term of Your subscription.

    You may terminate Your subscription without cause by giving the Company thirty (30) days advance wri tten notice of Your intention to do so, which termination will become effective at the end of the then existing subscription period.

    Upon expiry/termination of Your subscription, Your right and license to access and/or use the Service immediately ceases. Your login ID and password will be deactivated and You will no longer be able to access the Service nor will You receive any further Content.

  13. Governing Law and Jurisdiction

    This Website is deemed to be located in the India and the Service is deemed to be provided from India. These Terms, its validity, its interpretation and performance shall be governed by laws of India. You agree that any dispute between the parties hereto arising out of or in connection with these Terms (including any question regarding its validity or termination) shall be submitted exclusively to courts of New Delhi, India.

    Convosight complies with India's ASCI Commercial Code standards. All content auto-published by Convosight as part of its marketing campaigns conforms to ASCI's Code for Self-Regulation, which requires our content to be legal, decent, honest, and truthful, and not hazardous or harmful while observing fairness in competition.

  14. Notices

    The Company will send an email to the registered User no later than one (1) month before the entry into force of such modifications, requesting the User to read and accept the new version of the Terms.

  15. Grievance Redressal

    If You have any other concern or grievance with respect to the content/information/data on the Website please send an e-mail toreachus@convosight.comand we will study the matter and take such action as we deem appropriate under the circumstances.
